Luminary Studio will design and develop the deliverables listed in the SOW above for one primary long-scroll landing page, at an agreed fixed all-in fee of LKR 45,000. The fee includes the three prototype concepts, selection plus up to two revision rounds, responsive build, light and dark themes, accessibility and performance passes, the enquiry form wired to the client's email, the project gallery slider, and deployment to the client's existing domain and hosting. Work not listed in the SOW is outside scope, including photography, image sourcing or retouching, filterable project databases, downloadable capability statements, document portals, CRM or ERP integration, additional languages, and any page beyond the single landing page. Content is prepared on a mixed basis: the client supplies notes, source material and the existing presentation, and Luminary Studio polishes it for tone and consistency.

The total fee is LKR 45,000, a fixed all-in figure for the single landing page. There is no upfront payment on signing. 30% (LKR 13,500) is invoiced on the client's approval of the selected design concept; settlement starts development, and this payment also covers the discovery and the three prototype concepts already delivered in the design stage. The remaining 70% (LKR 31,500) is invoiced on delivery and is payable before final handover of files, accounts and deployment credentials. Invoices are payable within 7 days; work, including handover, may be paused on overdue amounts until payment is received.

Luminary Studio will present three prototype concepts for the landing page. The client selects one concept, and up to two revision rounds on that selected concept are included. Refinements to the approved design during development are included. A request to change design direction after approval, or to explore further concepts, is treated as additional scope under clause 4.

Once this SOW is signed the price of LKR 45,000 is fixed unless the client requests additional pages or requirements. New pages, features or changes requested after delivery are billable: Luminary Studio will quote them first as a written change order, and each change is invoiced once that change is completed. Pages added after signing are charged on the page base rate with a phase multiplier: Design x1, Development x1.4, late development or pre-launch x1.8. Additional requirements are quoted per item or at LKR 20,000 per working day, and approved change orders may move the delivery timeline, which Luminary Studio will state in the change order.

The indicative term is 2 to 3 weeks from kickoff, based on the client's stated target of an early first phase. The client will supply the logo, the presentation content, project photographs, group contact details for Malaysia, Thailand and Sri Lanka, and the enquiry form fields at kickoff, and will nominate Mr. Prem as sole approver. Feedback and approvals are due within two working days of each request, over WhatsApp or email. Delays in content, feedback or approvals move the delivery dates by an equivalent period.

On receipt of full payment, ownership of the delivered page designs, code and assets created specifically for this project transfers to the client. Luminary Studio retains ownership of its pre-existing tools, components and internal frameworks, and grants the client a perpetual licence to use them as embedded in the delivered work. Third party fonts, plugins, photography and services remain under their own licences. The client confirms it holds the rights to all logos, photographs, text and trademarks it supplies, including material relating to the SAMA group entities.

Each party will keep the other's non-public commercial, technical and project information confidential, and will use it only for this engagement. This obligation continues after the engagement ends. Luminary Studio may reference the completed page and show visuals of it as portfolio work unless the client asks in writing that we do not.

For 30 days after launch, defects in the delivered work are corrected at no charge; new features and content changes are not defects. Aftercare thereafter covers the client's first 5 change requests free, then LKR 6,000 per change request, where a change request is one discrete self-contained change. Larger work counts as several change requests and is quoted before it begins. Additional requirements are quoted per item or at LKR 20,000 per working day, and ongoing maintenance, hosting management or content updates can be arranged under a separate care plan.

Luminary Studio will perform the Services with reasonable skill and care, to professional standards, using current practice for Next.js and React builds. We do not warrant specific commercial outcomes such as search rankings, enquiry volume or tender results. Neither party is liable for indirect or consequential loss, including lost profits. Luminary Studio's total liability under this agreement is limited to the total fees paid by the client.

Either party may terminate this agreement on 7 days written notice. On termination the client pays for all work completed to the date of termination, including any stage already invoiced and any completed change orders. If termination occurs after design approval, the 30% design stage payment of LKR 13,500 is non-refundable, as the discovery and three prototype concepts have been delivered. Deliverables completed and paid for are released to the client, and intellectual property transfers only for work paid in full.

This agreement is governed by the laws of Sri Lanka, and the courts of Colombo have exclusive jurisdiction. The parties will first attempt to resolve any dispute in good faith discussion between the client's approver and a Luminary Studio principal. This agreement, together with the SOW and the quotation valid until 15 Sep 2026 referenced above, forms the entire agreement between the parties, and any variation must be recorded in writing.
